Federal Corporation (CBCA)
Most flexible · Coast-to-coast
Canada Business Corporations Act. Operates nationally under federal law. 25% of directors must be Canadian residents. Strong recognition for cross-provincial activity.
Provincial Corporation (QBCA)
Quebec · No residency requirement
Loi sur les sociétés par actions du Québec. No director residency requirement. Bilingual documentation. Registered office must be in Quebec.
Provincial Corporation (OBCA)
Ontario · Resident director required
Ontario Business Corporations Act. 25% Canadian-resident directors required. Strong corporate law track record. Toronto registered office.
Not-for-Profit (OBNL / NFP)
Mission-driven entities
Federal or provincial. No share capital, governed by members. Eligible for charitable status. Common for foundations, associations, and social ventures.
Cooperative
Member-owned governance
Federal or provincial. One member, one vote. Used by worker, producer, and consumer cooperatives. Distinct legal regime from corporations.
Strengths & considerations

What this jurisdiction actually offers.

Advantages

  • Bilingual jurisdiction. Operate and incorporate in English or French. Required for Quebec, valuable nationally — most US-based services do not offer this.
  • Solid international reputation. Canadian corporations are widely recognized. No "tax haven" perception, easier banking acceptance worldwide.
  • Strong corporate law tradition. Predictable courts, established case law, clear shareholder protections under both federal and provincial regimes.
  • Access to North American markets. NAFTA/USMCA partner. Strong trade ties to the US, EU (CETA), and UK (CUKTCA). Useful base for cross-border expansion.

To consider

  • Director residency rules (federal). 25% of CBCA directors must be Canadian residents. Provincial QBCA has no such rule; choose accordingly.
  • ISC beneficial ownership disclosure. Federal corporations must disclose individuals with significant control. Penalties for non-compliance are real.
