Private Limited Company (OÜ)
Standard · 95% of e-resident companies
Osaühing. Limited liability. Minimum share capital €0.01 (most use €1–€2,500). Single founder permitted. Online registration in hours.
Public Limited Company (AS)
Larger ventures
Aktsiaselts. €25,000 minimum share capital. Required for IPO or large-scale capital raising. More governance overhead.
Sole Proprietorship (FIE)
No liability shield
Füüsilisest isikust ettevõtja. Personal liability — not recommended for most international ventures. Simpler taxation.
Non-Profit (MTÜ)
Member-based associations
Mittetulundusühing. Used for foundations, NGOs, and member organizations. No share capital. Mission-driven.
General Partnership (TÜ) / Limited Partnership (UÜ)
Less common · Joint ventures
Partnership structures. Less commonly used by e-residents but available for joint ventures and investment vehicles.

What this jurisdiction actually offers.

Advantages

  • 0% tax on reinvested profits. Unique EU tax regime. Corporate tax is only triggered when profits are distributed as dividends. Capital reinvested in growth is untaxed.
  • 100% remote operation. e-Residency digital ID enables full remote signing, filing, and management. Most processes complete in hours, not days.
  • EU single market access. OÜ is a fully recognized EU entity. Trade freely across 27 member states. Access to EU-tier banking and payment infrastructure.
  • Digital-native infrastructure. Estonian X-Road government platform is the most advanced in the world. Filing, banking, and signing are designed for cross-border digital businesses.

To consider

  • Contact person required for non-residents. If management is outside Estonia, a FIU-licensed contact person is mandatory. Adds €200–400/year wholesale cost.
  • Substance scrutiny rising. Banks and tax authorities increasingly require demonstrable business activity. Pure shell companies face account-opening difficulties.
