C-Corporation
VC track · IPO ready
The standard for venture-backed startups. Double taxation but unlimited share classes, foreign ownership, employee stock options. Required for institutional VC investment.
LLC
Pass-through · Operational simplicity
Limited Liability Company. Pass-through taxation by default (Schedule C / 1065). Flexible member structure. Easier compliance than corporations.
S-Corporation
US persons only
Pass-through with corporate liability shield. Restricted to US citizens / residents — typically not applicable to international founders.
Public Benefit Corporation (PBC)
Mission-driven for-profit
C-Corp variant requiring a stated public benefit purpose. Used by Allbirds, Patagonia, Kickstarter. Compatible with VC funding.
Series LLC
Multi-asset segregation
Single LLC umbrella with internal sub-series, each with its own assets and liabilities. Common for real estate portfolios and fund structures.
Strengths & considerations

What this jurisdiction actually offers.

Advantages

  • Court of Chancery. Delaware's specialized business court has 200+ years of corporate case law. Predictable rulings. The reason Fortune 500 companies incorporate here.
  • Investor familiarity. Every US VC, angel investor, and law firm understands Delaware corporations by default. Reduces friction during fundraising.
  • Flexible capital structure. Unlimited authorized shares, multiple classes, preferred stock, convertible instruments — all natively supported.
  • No state income tax on out-of-state operations. Delaware doesn't tax income earned outside Delaware. The franchise tax is the principal annual cost.

To consider

  • Franchise tax can scale aggressively. Authorized Shares method can exceed $200,000/year for high-share-count corps. Use the Assumed Par Value Capital method to control this.
  • Out-of-state qualification. If you operate physically in another state, you may need to register there too as a foreign corporation, adding fees.
