Limited Liability Partnership (LLP)

LLP Act 2000. Combines partnership taxation with corporate liability shield. Common for law, accounting, and consulting firms.
Limited Partnership (LP)
Investment vehicles
General partners (unlimited liability) + limited partners (liability capped). Used for venture funds and PE structures.
Limited by Guarantee
Non-profit · No share capital
Members guarantee a nominal sum (£1–£10) on winding up. Used for charities, clubs, professional associations.

Advantages

  • Fastest incorporation in Europe. Companies House registers most filings in 24–48 hours. Often same-day with the £50 surcharge. Among the fastest jurisdictions globally.
  • No residency requirement. Directors and shareholders can be located anywhere in the world. 100% foreign ownership permitted.
  • Global credibility. UK companies are accepted in nearly every banking and trading jurisdiction. English common law tradition is widely understood.
  • Robust DTA network. Double tax treaties with 130+ countries. Useful for international structuring, royalties, and intellectual property holding.

To consider

  • Fees doubled in 2026. Companies House filing rose from £50 to £100 in February 2026. Confirmation statement up from £34 to £50. Budget accordingly.
  • ID verification mandatory. Since November 2025, all directors and persons with significant control must verify identity. Adds a step but can be done remotely.
